Terms of Service

These Terms govern your use of PointEight, operated by [Legal Entity Name] ("PointEight", "we"). By creating an account or using the service you agree to these Terms. If you do not agree, do not use the service.

1. The service

PointEight is an AI-assisted operating layer that helps goods-moving businesses manage loads, inventory, GST invoicing and payment collection over WhatsApp, SMS, voice and web. It sits on top of tools you already use and does not replace professional accounting, legal or tax advice.

2. Eligibility & accounts

• You must be 18+ and authorised to act for your business.
• You are responsible for the accuracy of your account details and for keeping your credentials secure.
• You are responsible for all activity under your account.

3. AI outputs and your confirmation

The AI agent interprets your instructions and proposes actions. It can make mistakes. You review and confirm every money-touching action (sending an invoice, recording a payment) before it takes effect. You are responsible for verifying amounts, parties, quantities, tax rates and any document before acting on it. PointEight is not liable for losses arising from unverified AI outputs you approve.

4. Tax & regulatory compliance

PointEight helps generate GST-compliant documents (including e-invoice/IRN and e-way bill where integrated), but you remain solely responsible for the correctness of your GSTIN, HSN codes, tax rates, filings and compliance with all applicable laws.

5. Payments

Payment links and collection are facilitated through our payment gateway partner (Razorpay). PointEight is not a bank or payment aggregator and does not hold your funds; money paid by your customers settles to you through the gateway, subject to the gateway's terms. Gateway charges may apply.

6. Subscription & fees

Paid plans are billed in advance on the cycle shown at purchase. Fees are exclusive of applicable taxes. We may change pricing with prior notice; changes apply from your next billing cycle.

7. Acceptable use

• Do not use the service for unlawful, fraudulent or infringing purposes.
• Do not send messages to recipients without a lawful basis, or in violation of WhatsApp/DND rules.
• Do not attempt to disrupt, reverse-engineer or gain unauthorised access to the service.

8. Intellectual property

The software, models integration, and brand are owned by PointEight. Your business data remains yours; you grant us a limited licence to process it to provide the service.

9. Disclaimers & limitation of liability

The service is provided "as is" without warranties of any kind. To the maximum extent permitted by law, PointEight's total liability for any claim is limited to the fees you paid in the three months before the claim, and we are not liable for indirect, incidental or consequential losses, including lost profits or data.

10. Indemnity

You agree to indemnify PointEight against claims arising from your use of the service, your data, or your breach of these Terms or applicable law.

11. Termination

You may cancel anytime. We may suspend or terminate access for breach of these Terms or non-payment. On termination you may export your data for a reasonable period, after which it may be deleted subject to legal retention.

12. Governing law

These Terms are governed by the laws of India, and courts at [City], India have exclusive jurisdiction.
